Definitions

  • "Business Customer" refers to a customer not qualifying as a Consumer.
  • "Consumer" refers to an individual who is not engaging in activities related to their business or profession.
  • "Cube Devices Ltd" is also referred to as "CD," "we," or "us" in these Terms and Conditions.
  • "Catalogue" refers to the compilation of items and services provided by.
  • "Force Majeure" refers to any factor that impedes the fulfillment of obligations due to acts, events, omissions,  occurrences or non-occurrences beyond reasonable control, including (but not limited to) governmental regulations, fire, flood, or any disaster or industrial dispute involving a third party.
  • "Normal Working Hours" refers to the period from 8:00 AM to 6:00 PM (GMT+1) on a Working Day.
  • "Working days" refers to Monday through Friday, excluding Bank and other public holidays.

Orders

  • Upon the customer's receipt of explicit acceptance or the initiation of performance, these Terms and Conditions, along with the Purchase Order as amended by the acceptance or order acknowledgment, constitute a binding contract between the customer and the other party, as outlined in those documents.
  • All orders are contingent upon acceptance and the Availability of the requested Products; the entity reserves the right to decline any order you submit.
  • You agree that:
  • All information you submit to us for the acquisition of Products or services available on our website is accurate.
  • The credit or debit card availed for your purchase is either your own or your company's, for which you possess authorization, and adequate funds or credit are available to cover the expenses of any Products or services you request from us. Before delivering products or services, we can verify your credit or debit card information.
  • Please be advised that inbound and outbound calls and electronic communications may be recorded and monitored for training purposes.

Pricing

  • All product prices exclude any applicable value-added tax (VAT). If appropriate, the customer shall be responsible for the additional payment.
  • CD reserves the right to increase the price of the Products by providing written notice to the customer at any time before delivery to account for any modifications in specifications requested by the customer or necessitated by delays resulting from (a) the customer's instructions or (b) the customer's failure to furnish sufficient information or instructions.

Procurement

  • We shall acknowledge receipt of your order via e-mail.
  • We shall verify the acceptance of your order by e-mail.
  • We will notify you via e-mail that your order has been sent, including its tracking number.

Delivery, Ownership, and Risk

  • For inquiries regarding delivery and order status, please log into your account or contact Customer Support at 020 4515 9193.
  • In case of a probable delay, we will take reasonable measures to inform the customer of the situation. A consumer customer can cancel an order upon notification of a delay if the new delivery date is unacceptable.
  • If a Business Customer cannot receive the Products within 30 days of the stipulated delivery date, the Business Customer shall, as its exclusive remedy, have the right to cancel the order and request a refund of all payments made for such order. To cancel, the Business Customer must provide written notice of cancellation after the specified date but before the delivery of the items or notification that the products are ready for delivery.
  • In the case of Business Customers, liability for shortages or damage to deliveries is only accepted if the Business Customer provides written notification of the shortage or damage within 48 hours of receipt of the delivery.
  • Business customers must be prepared to accept the products upon delivery during regular working hours.
  • If the customer refuses delivery of any Products when they are prepared for dispatch to the Designated Carrier or fails to dispatch the Products to the Designated Carrier punctually due to inadequate instructions, documents, or authorizations, the risk associated with the Products will transfer to the customer (including any loss or damage resulting from negligence) upon receipt of a signed proof of delivery.
  • The title to the Products only transfers to the customer once complete payment is made.
  • If the Customer is unable to accept delivery, they may, at their discretion: 
  • store and ensure the Products at their own expense and risk, or 
  • sell the Products at the highest reasonable price obtainable and, after deducting reasonable storage, insurance, and selling costs, remit any surplus to the customer or bill the customer for any deficit or 
  • reschedule delivery, provided they may charge the customer for any additional delivery costs incurred.
  • The Customer may seek proof of delivery in writing within 3 months of the delivery date, and the company must make reasonable efforts to provide such evidence. Subsequently, delivery shall be considered accomplished.
  • The customer is responsible for verifying that the quantity of delivered packages matches the amount indicated on the delivery note.

Terms of Delivery

  • Standard shipping ensures the receipt of your entire purchase within 3 to 5 days, contingent upon the Availability of all items in stock.
  • Same Day Shipping: Same day shipping ensures that your order for in-stock items are shipped same day by the close of business for all orders placed before 2:00 PM GMT.
  • Part Shipping: When ordering multiple items, they may have varying lead times; hence, you may request separate deliveries and will incur charges for all additional deliveries above the norm.
  • Distribution to Multiple Locations: Certain clients procure centrally and desire the delivery of diverse commodities to different offices; this can be facilitated if the necessary security verifications are completed and the associated expenses are accounted for.
  • Shipment is conducted through DHL, Federal Express, or UPS. 

Availability

  • If an ordered product remains unavailable after the specified waiting period, we will contact you via e-mail or phone to propose an extension or to recommend an alternative product.

Payments

  • Four distinct payment methods are available for orders placed online: by phone, fax, or e-mail, as well as account, credit and debit cards, or bank transfers.
  • Credit and Debit Cards: American Express, Visa, and MasterCard: processed through a secure payment system.
  • Bank transfer payment: provides the option to remit money by bank transfer. Foreign bank transfers will only be accepted if the customer pays the additional expenses. Your payment will be executed upon receipt of your bank transfer.

  • Please be advised that should our insurance provider and fraud detection unit identify any suspicious elements, we retain the right to annul the transaction for security purposes.

Product Details

  • We strive to deliver the Products as promised but reserve the right to provide the Products with slight differences in actual dimensions and specifications as altered by the manufacturer.
  • If unable to furnish the Products requested by the customer, retains the right to provide Products of equivalent or superior quality at no additional charge. 

Commercial Designations and Trademarks

  • Trade names and marks, excluding possessive forms, may not consistently reflect the actual producer of a specific product; instead, they may signify generic usage systems and machinery related to such things.
  • Customers seeking a specific component brand should verify the manufacturer's identity before placing an order.

Guarantees and Returns

If items may seldom be identified as faulty or damaged. In these instances, we provide the return facilities outlined below:

  • Unless specified otherwise in the manufacturer's documentation, all delivered Products are covered by a 12-month manufacturer's warranty.
  • If you acquire Products during your business, the subsequent provisions of this Clause shall be applicable. PRODUCTS ARE NEITHER TESTED NOR MARKETED AS SUITABLE FOR ANY SPECIFIC APPLICATION OR CONDITIONS UNLESS EXPLICITLY STIPULATED IN WRITING.
  • Specifically, we cannot be held liable for any faults or damages not attributable to the services' engineers or their hired agents. All other express or implied promises or warranties about the Services are excluded to the maximum extent authorized by law, save as specified below.
  • Deliberately Excluded.
  • Should it accept the return of undesirable products for credit, the Products must be returned with prior written consent within 7 days after delivery. 
  • Upon verification of any claimed defect, we will accept the return of defective Products for a full refund.
  • The technical support or Customer Support team will inform you of the appropriate delivery option for returning the products. 
  • CD provides a complimentary collection, repair, and delivery service exclusively for CDs demonstrated to be defective, contingent upon the fault being reported within 7 days of delivery. 
  • All returned products must include a Returns Material Authorization number ('RMA Number'), obtainable by contacting Customer Support at 020 4515 9193. 
  • CD cannot assume responsibility for packages that are damaged in transit.
  • It is highly recommended to dispatch your shipment via recorded delivery, registered post, or courier to ensure the products have their total worth.
  • Upon receiving the returned product, we will conduct an assessment to ascertain the reported defect.
  • Upon completion of the testing process, if the product is functioning correctly and free of defects, we shall return the goods to you, and you will be responsible for the associated shipping expenses of this return.
  • This warranty is void if the Products have been modified, altered, or damaged by the customer or its representatives or if the manufacturer's guidelines have not utilized them. 
  • Some manufacturers mandate that products be returned within 7 days or fewer to obtain a refund. In these cases, the manufacturer's time frame will be enforced, permitting returns solely within 7 days of purchase or the manufacturer's specified restriction if it is shorter than 7 days. 

CD’s trustworthiness

  • In its interactions with Business Customers, shall under no circumstances be liable for any consequential or indirect damages or losses, regardless of the cause, including (but not limited to) loss of business or profits, loss of goodwill, damage to trading relationships, loss of data, and other financial losses. 
  •  This agreement does not restrict liability for death or personal harm resulting from its carelessness.

Health and Safety Regulations.

  • We affirm that the Products supplied as a distributor do not represent a health and safety risk when (i) utilized correctly for their intended purpose and (ii) the customer exercises reasonable and customary safeguards throughout their use.

Unforeseeable Circumstances

  • If, despite its reasonable efforts, it cannot fulfill an obligation owing to circumstances beyond its reasonable control and Force Majeure, it shall not be considered in breach of its contract with the customer.

Specific Regulations for Clearance Discounts and Non-Current Catalog Requests ('NCCR') Products

  • Products designated as "Clearance Sales" are downgraded items offered at a reduction from the standard price. Clearance bargain products are limited in stock and are sold under specific criteria.
  • Clearance sales are categorized based on the condition of the products.
  • Clearance sales inherently possess restricted Availability. 
  • All products designated as 'non-current catalog requests' ('NCCR') or 'Specials' are offered under specific restrictions that supplement the regular terms and conditions.
  • Products are non-returnable unless an error has occurred on our part or the Products are defective.
  • Quoted rates remain valid for 14 days exclusively; quoted prices are not eligible for value, cash, or bulk reductions.

Errors and Omissions

  • CD endeavors to guarantee that all prices and descriptions presented in its catalog and website are precise and accurate.

Customer Obligations

  • The Customer shall designate the Open Online "Administrator" specified on the Open Online authorization form.
  • The Administrator shall be accountable for utilizing the Open Online on behalf of the customer.
  • The Customer may alter the designated Administrator by utilizing the online facility or by notifying Limited of the new Administrator's identification in writing.
  • The Customer must ensure compliance with all technical requirements of Open Online access, and Limited shall not be held liable for any losses arising from technological incompatibilities or system faults.
  • The Customer must take all necessary precautions to ensure that its authorized Administrator and Users do not share their login credentials with anyone under any circumstances.

Responsibilities of the Administrator

The Administrator is required to fulfill the following responsibilities:

  • authorization, endorsement, and configuration of access levels for new and existing users.
  • Removal, deletion, and modification of Users who have exited the firm or are considered unfit to utilize Open Online on behalf of the customer for whatever reason.
  • Verify the accuracy of all customer company information maintained on Open Online, including, but not limited to, postal and delivery addresses.
  • The Customer recognizes responsibility for the Administrator's actions and any changes to the data.

User Obligations

  • The User must consistently act on behalf of the customer in all actions conducted via Open Online.
  • The User shall not disclose any security information, including but not limited to usernames and passwords, to other parties under any circumstances.
  • Upon termination of representation or employment with the customer, the User shall refrain from utilizing any provided login credentials associated with the customer to access Open Online.

Security and Authentication

Open Online login credentials consist of three components:

  • The Account Number.
  • The User's Username (distinct inside the customer) is any alphanumeric combination, typically the User's e-mail address.
  • The User's confidential Password (Any alphanumeric combination).
  • Using login credentials indicates that the customer consents to orders and information made by or on its behalf.
  • The Customer, the Administrator, and the User shall exert all reasonable efforts to maintain the confidentiality of the login information, particularly the password.

License

  • CD Confers upon you a non-exclusive right to utilize this website by these Terms and Conditions.

Maintenance Services

  • We shall not be responsible for any loss of business incurred by the customer or for any other losses, actions, costs, claims, consequential damages, expenses, or liabilities.
  • If we cannot repair the Products, we shall not impose charges on the customer (except shipping fees).
  • We commit to exerting all reasonable efforts to service or repair the products and rectify any defects as reported by the customer.
  • can provide a quotation for a testing service that excludes any repairs. After these reports, the customer may request a quotation for the Repairs.
  • We will provide a cost estimate for the repair based on the information available at the time of the request. If the customer rejects the uplift, the unit will be returned as "Beyond Economical Repair" at no expense to the customer (except transportation fees). 
  • We retain the authority to designate Products as "Beyond Repair."
  • Any repair is contingent upon the Availability of requisite components.
  • If products must be held for components or any other reason, the customer will be informed as soon as possible, and we shall bear no liability for the delays incurred.
  • During the inspection phase, if the expense of parts necessary to finalize a repair surpasses the repair price, this additional cost may be transferred to the customer as a price "uplift" on the repair. 
  • Parts and components utilized for repairing or providing services on Products may be either new or refurbished.
  • The customer must erase or back up any data or configuration saved on the Products before shipping them to us.
  • All data and configurations will be erased from the Products during the standard repair procedure.
  • We disclaim all responsibility or liability, including for consequential damages, for any data saved on the Products that is lost, destroyed, or rendered inaccessible.
  • We do not guarantee that the Products will be updated to the most recent software version due to copyright and licensing constraints.
  • Occasionally, upgrading or downgrading products may be essential due to incompatibility with CD or software.
  • The customer is responsible for ensuring that all Products are dispatched with any internal and external memory, flash, or flashcards included. 
  • The warranty does not encompass products determined to be defective owing to the prior absence of memory, flash, or flash cards.
  • Software faults are excluded from warranty coverage and will incur the total repair cost.
  • We offer a 12-month warranty on the specific repair; this does not extend to the entire equipment.
  • Any warranty claim must be submitted in writing within this timeframe, citing the serial number and utilizing our usual RMA method. 
  • The customer's insurance must cover the transportation of products from the customer's location to our repair facility and their return. 
  • During the inspection, when Products are determined to be "No Fault Found" (NFF), courtesy communications are dispatched to the customer, informing them that no problem has been identified and that additional information may be necessary.
  • If the customer or their representative does not initiate contact regarding the resolution of an NFF, the Products will be placed in quarantine for 10 days.
  • All products undergo a minimum soak test duration of 2 hours unless an intermittent problem is anticipated, in which case the soak test may be extended for up to 5 days, contingent upon the product type and other factors.
  • If the customer urgently requests the return of Products during prolonged soak testing, warranty terms may be impacted. 
  • Repaired products will be returned to the customer within five business days following the inspection date. 

In General

  • These Terms and Conditions do not impinge upon your statutory rights as a Consumer.
  • Should any part of this agreement be judged illegal or unenforceable, it shall be severed from the agreement, leaving the legality or enforceability of the remaining sections unaffected.
  • Any waiver of a breach of this agreement must be documented in writing.
  • You acknowledge that these conditions and Conditions shall prevail, regardless of any conflicting or supplementary conditions present in any Purchase Order, sales acknowledgment, confirmation, or other documentation provided by either party.
  • Any agreement modification must be documented in writing and executed by an authorized representative.
  • The headings are solely for convenience and shall not influence the interpretation of this agreement.
  • Notices under this Agreement must be in writing and delivered (I) via first-class pre-paid mail to the party's last known address, (ii) by fax to the last known fax number, or (iii) by e-mail to the party's most recently notified e-mail address.
